Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Ascend mobile application and related services (the "Service") operated by NexusWeaver Ltd ("we", "our", "us"), a company registered in England and Wales.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

You must be at least 13 years old to use Ascend. If you are between 13 and 18, you must have parental or guardian consent.

2. Account Registration

Ascend uses Google Sign-In for account creation and authentication. By signing in with your Google account, you authorise us to access your basic profile information (name, email, profile picture) for account setup.

You are responsible for maintaining the security of your Google account and for all activities that occur under your Ascend account. You must notify us immediately if you suspect any unauthorised use of your account.

Each person may maintain only one Ascend account. We reserve the right to suspend or terminate duplicate accounts.

3. Subscriptions & Pricing

Ascend offers three subscription tiers:

  • Free: Basic features including workout logging, limited AI coaching, and community access.
  • Pro (£9.99/month or £95.88/year): Enhanced AI coaching, advanced nutrition tracking, detailed analytics, and priority support.
  • Elite (£19.99/month or £191.88/year): Full access to all features including personalised meal plans, voice coaching, advanced health insights, and exclusive content.

All prices are in British Pounds (GBP) and include VAT where applicable. Prices are subject to change with 30 days' prior notice.

Payments are processed securely by Stripe. By subscribing, you authorise us to charge your payment method on a recurring basis (monthly or annually) until you cancel.

4. Free Trial

New users receive a 7-day free trial of Elite features upon account creation. No payment information is required to start the trial.

At the end of the trial period, your account will automatically revert to the Free tier unless you choose to subscribe to a paid plan. You will not be charged without your explicit consent.

The free trial is available once per person. We reserve the right to modify or discontinue the free trial at any time.

5. Cancellation & Refunds

You may cancel your subscription at any time through the app (Settings → Subscription → Cancel Subscription) or by contacting us at info@nexusweaver.io.

Upon cancellation, your subscription remains active until the end of the current billing period. You will continue to have access to paid features until that date.

Refund Policy: We do not provide refunds for partial billing periods. If you cancel mid-month or mid-year, you will retain access until the end of the period you have already paid for. In exceptional circumstances, refund requests may be considered on a case-by-case basis.

6. Health Disclaimer

Ascend is not a medical device and does not provide medical advice.

The fitness plans, nutrition recommendations, AI coaching guidance, and health data presented in the app are for informational and educational purposes only. They are not intended to diagnose, treat, cure, or prevent any disease or health condition.

Before starting any new exercise programme, diet plan, or making changes to your health routine, you should consult with a qualified healthcare professional, particularly if you:

  • Have any pre-existing medical conditions
  • Are pregnant or nursing
  • Are taking medication
  • Have a history of eating disorders
  • Are recovering from surgery or injury

Health data from wearable devices and connected platforms may not be 100% accurate. Do not rely solely on Ascend for health monitoring. If you experience any adverse symptoms during exercise, stop immediately and seek medical attention.

7. User-Generated Content

The Service allows you to post content in community features, including workout completions, milestones, check-ins, comments, and thoughts ("User Content").

You retain ownership of all User Content you create. By posting User Content, you grant NexusWeaver Ltd a non-exclusive, worldwide, royalty-free licence to display, distribute, and use your User Content within the Service for the purpose of operating and promoting the app.

You are solely responsible for your User Content. You represent and warrant that your User Content does not violate any third-party rights, laws, or these Terms.

We reserve the right to remove any User Content that violates these Terms without prior notice.

8. Prohibited Conduct

When using the Service, you agree not to:

  • Use abusive, threatening, harassing, or discriminatory language towards other users.
  • Post content containing profanity, hate speech, or explicit material. Ascend employs automated profanity filters.
  • Impersonate another person or misrepresent your identity or affiliation.
  • Share spam, advertisements, or unsolicited promotional content.
  • Attempt to gain unauthorised access to other users' accounts or data.
  • Reverse-engineer, decompile, or attempt to extract the source code of the application.
  • Use automated bots, scrapers, or other tools to interact with the Service.
  • Manipulate leaderboards, scores, or gamification features through fraudulent activity.
  • Upload malicious code, viruses, or any harmful content.
  • Violate any applicable laws or regulations.

Violation of these rules may result in content removal, account suspension, or permanent termination at our sole discretion.

9. Intellectual Property

The Ascend application, including its design, code, branding, logos, AI models, training plans, content, and all associated intellectual property, is owned by NexusWeaver Ltd and is protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service or any part of it without our prior written consent.

10. Your Data

You own your personal data. We process it on your behalf to provide the Service in accordance with our Privacy Policy.

You have the right to export your data at any time (Settings → Privacy → Export My Data) and to request complete deletion of your account and associated data.

11. Third-Party Services

Ascend integrates with third-party services including Google Health Connect, Apple HealthKit, Strava, Stripe, and Google Gemini AI. These services are governed by their own terms of service and privacy policies.

We are not responsible for the availability, accuracy, or reliability of data provided by third-party services. Integration with third-party services does not imply endorsement.

12. Limitation of Liability

To the maximum extent permitted by law, NexusWeaver Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, data, or business opportunities
  • Personal injury or health issues arising from use of the Service
  • Inaccuracy of health data from connected devices or AI recommendations
  • Service interruptions, downtime, or data loss
  • Actions of other users or third-party services

Our total liability for any claim arising from or related to the Service shall not exceed the amount you have paid us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless NexusWeaver Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Termination

You may terminate your account at any time by deleting it through the app (Settings → Account → Delete Account) or by contacting us.

We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, or if required by law. We will provide notice where reasonably possible.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue in effect.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the European Union, you may also benefit from mandatory consumer protection provisions in your country of residence. Nothing in these Terms affects your statutory rights as a consumer.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the app and updating the "Last updated" date. For significant changes, we will provide at least 30 days' notice via in-app notification or email.

Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the changes, you should stop using the Service and delete your account.
